How to Govern AI Tool Use at Your Company

AI tool adoption has outpaced governance at most organizations. Employees are using ChatGPT, Microsoft Copilot, Gemini, and a growing list of AI-powered integrations inside their everyday tools -- without any formal process for what is allowed, what is not, and what data should not flow through those systems.

That is not a failure of discipline. It is a failure of governance. When organizations do not establish clear rules, employees make their own decisions. Most of those decisions are reasonable. Some are not. And the organization has no way to tell the difference.

Governing AI tool use does not mean blocking AI adoption. It means making that adoption deliberate.

Start with an Honest Inventory

Before you can govern AI tool use, you need to know what tools are actually in use. This is consistently the most uncomfortable step -- not because it is technically difficult, but because what you find is usually more than leadership expected.

Conduct a structured inventory across your organization:

  • Ask managers to list AI tools their teams use, including free-tier and personal accounts
  • Review browser extensions for AI-powered tools employees have installed
  • Review your SaaS application list for AI features embedded in tools you already pay for (Salesforce Einstein, Notion AI, Microsoft 365 Copilot, Slack AI, etc.)
  • Review expense reports and credit card statements for AI tool subscriptions
  • Review OAuth connections to your identity provider and email -- many AI tools request access to calendar, email, and file storage

The inventory will include tools you approved, tools you knew about but had not formalized, and tools you were unaware of entirely. All three categories are useful information.

Define What Requires Approval

Not every AI tool requires the same level of scrutiny. Governance works best when it is proportional to risk.

A practical tiering approach for most SMBs:

Tier 1 — Low oversight: General-purpose productivity tools used for tasks that do not involve sensitive data. A writer using an AI tool to improve clarity in marketing copy has a different risk profile than a finance employee using an AI tool to summarize financial projections.

Tier 2 — Standard review: Tools that access organizational data through integrations, process client information, or are used in workflows involving sensitive data categories. These require review of vendor security posture and data handling terms before approval.

Tier 3 — Executive approval: Tools that access regulated data (HIPAA, financial records, legal documents), integrate deeply with core business systems, or are used in high-stakes workflows where AI-generated errors could create significant business or legal exposure.

Define these tiers explicitly and communicate them to your team. Most employees want to know the rules. What they cannot work with is ambiguity.

Write a Practical Acceptable Use Policy

An AI acceptable use policy does not need to be long. It needs to be specific enough to guide real decisions.

At minimum, cover these areas:

Approved and prohibited tools. Maintain a list of approved AI tools and a short list of tools that are prohibited for use with company data. Review and update this list regularly.

Data handling boundaries. Be explicit about what data should not be entered into AI tools. Common examples: client names and contact information, financial projections, legal documents, personally identifiable information, confidential product plans. If an employee would not email that information to a personal Gmail account, they should not enter it into an unapproved AI tool.

Output review requirements. Establish that AI-generated outputs in specific contexts require human review before use. This is especially relevant for anything that will be shared externally, used to make a material decision, or incorporated into legal or financial documents.

Account hygiene. Require employees to use organizational accounts (not personal accounts) when using approved AI tools with company data. Personal accounts have different data retention terms, different privacy settings, and create accountability gaps.

Reporting. Tell employees how to raise questions about a specific tool they want to use or a situation they are unsure about. Governance without a feedback channel produces shadow behavior.

Address the Shadow AI Problem Directly

Shadow AI -- tools employees use outside any formal process -- is not going away. The response to shadow AI is not enforcement. It is making the approved path easier than the shadow path.

If employees are using unapproved AI tools for a specific workflow, there is likely a reason: the approved tool does not do what they need, the approval process is too slow, or no approved option has been identified for that use case.

Treat shadow AI discovery as a signal. When you find unapproved tools in use, ask why before you prohibit. Often the right response is to evaluate and approve the tool -- not block it.

The goal of AI governance is not zero shadow AI. The goal is a posture where the most sensitive data is being handled deliberately, the organization has visibility into what tools are in use, and employees have a clear path to get new tools approved when they need them.

Build Oversight That Scales

A governance program that requires leadership review of every AI interaction will fail because it creates too much friction. Governance at scale looks like:

  • A clear policy employees can reference without asking leadership
  • A simple, fast approval process for new tools
  • Quarterly reviews of the approved tool list and any new tools that have appeared through discovery
  • Annual review of data handling terms for high-tier tools
  • An escalation path for incidents -- if an employee realizes they shared sensitive data with an unapproved tool, there should be a clear path to report that without fear of disproportionate consequences

The program should be light enough that it actually runs.

What Governance Does Not Do

AI governance does not prevent all risk. An employee determined to circumvent controls will find ways to do so. The goal of governance is to reduce the likelihood of accidental exposure, create accountability for deliberate decisions, and establish a defensible record of oversight.

It also does not require you to restrict all AI adoption. Most AI tool use in most organizations is low-risk. Governance protects the high-risk workflows while leaving low-risk adoption free to grow.
